🌟 1. What Is the TSA?
The Token Subscription Agreement (TSA) is the formal legal contract that governs your investment in MUY Token. Whether you’re acquiring 1 token or 100,000, the TSA outlines your rights, responsibilities, and the issuer’s obligations.
It is a signed agreement between:
You – the Subscriber (investor)
MYSTARD S.A. de C.V. – the legal issuer of MUY Token and project owner of MUYALTA, Playa del Carmen
The TSA confirms:
Your understanding that MUY Token is a security token, not a speculative utility token or crypto coin
That you have reviewed the White Paper, Prospectus, and DAO Constitution
You will sign this agreement as part of your onboarding process. It is legally binding and digitally timestamped.
📦 2. What You're Subscribing To
By signing the TSA, you are confirming:
✅ You’re investing in a real estate–backed digital asset
✅ You understand how income participation and DAO governance works
✅ You agree to the 12-month lock-up period
✅ You understand the risks and no-guarantee clauses
Tokens will only be issued after:
Your KYC is approved
Your wallet is whitelisted
Your payment is confirmed in full
🔐 3. Lock-Up Period & Wallet Rules
To ensure project stability and prevent early dumping or speculation:
Tokens are non-transferable for 12 months from issuance
Transfers are only allowed between whitelisted wallets post-lock-up
Tokens are governed by smart contracts to enforce compliance and prevent misuse
This structure supports the project's long-term vision and protects all investors.
💸 4. Distribution Terms
As a MUY Token holder, you will be eligible to receive:
Quarterly distributions in USDC or USDT, based on actual net rental income
85% of income goes to token holders
15% is retained in the DAO Treasury for reserves, operations, and reinvestment
Distributions are:
Not guaranteed
Subject to market performance, construction timeline, tenant occupancy, and treasury governance
🏩 5. DAO Builder Tier Recognition
If your subscription reaches or exceeds $50,000 USD, you will be onboarded into the DAO Builder Tier, granting:
Full governance rights under the DAO Constitution
Access to exclusive project dashboards and voting platforms
Priority access to MUY Token Series B, C, and beyond
Participation in proposals, treasury planning, and development expansion
All rights are tied to your whitelisted wallet address, which must pass KYC.
⚠️ 6. Risks & Acknowledgements
By signing the TSA, you explicitly acknowledge:
MUY Token does not guarantee a fixed return or capital gain
Real estate markets are subject to vacancy, delays, and income fluctuation
Cryptocurrency and blockchain systems carry operational risk
Regulatory changes may impact how MUY Token operates in your country
You confirm that you are investing:
With full awareness of these risks
Based on independent judgment or consultation with a financial advisor
📩 7. What Happens After Signing?
After you complete the TSA and pass onboarding:
✅ You’ll receive an email confirmation
✅ Your wallet is officially whitelisted
✅ Your token allocation is locked in
✅ You’ll gain access to our investor portal and updates
No need to re-sign the TSA for MUY-B or MUY-C, unless the agreement is materially revised.
📎 8. Document Format & Signature Process
The TSA is delivered securely using:
DocuSign or PandaDoc for verified digital signature
You’ll receive a timestamped PDF copy immediately after signing
All documents are encrypted and audit-traceable
You may request your signed agreement anytime by emailing: legal@muytoken.com
